1 Introduction & Definitions

These Terms and Conditions ("Terms") govern your access to and use of RangeHunterPro V2, a MetaTrader 5 Expert Advisor software product ("Software") developed and distributed by Range Hunter Pro ("Company", "we", "us", or "our"), a software business based in the Republic of South Africa.

These Terms are entered into between you, the individual or legal entity purchasing or using the Software ("User", "you", or "your"), and the Company. These Terms constitute a binding legal agreement and are subject to the Electronic Communications and Transactions Act 25 of 2002 ("ECTA") of South Africa.

Definitions

• "EA" or "Expert Advisor" means an automated trading program that operates within the MetaTrader 5 trading platform.
• "Software" means RangeHunterPro V2, including the compiled MQL5 executable file (.ex5), any associated documentation, and any updates or upgrades provided by the Company.
• "User" means any individual or entity who purchases, receives, downloads, installs, or uses the Software.
• "License Key" means the unique alphanumeric code issued by the Company upon purchase that activates the Software for a specific MT5 account.
• "MT5 Account" means the MetaTrader 5 trading account number to which your License Key is bound.
• "XAUUSD" or "Gold" means the spot gold trading instrument available on the MetaTrader 5 platform.
• "Broker" means the regulated financial services provider or foreign exchange broker through whom the User conducts trading activities.

2 License Grant

Subject to your compliance with these Terms and payment of the applicable license fee, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software solely for your personal trading purposes on the designated MT5 Account specified during activation.

Permitted Use

• Install and run the Software on one MT5 account per license purchased.
• Use the Software for personal automated trading on the XAUUSD instrument.
• Use the Software in the MetaTrader 5 Strategy Tester for backtesting purposes.

Prohibited Use

You expressly agree that you will NOT:

• Copy, reproduce, distribute, resell, or transfer the Software or your License Key to any third party.
• Reverse engineer, decompile, disassemble, decrypt, or attempt to derive the source code of the Software. The Software is distributed as a compiled .ex5 file, and any attempt to circumvent this is prohibited.
• Modify, adapt, translate, or create derivative works of the Software.
• Use the Software to provide managed trading accounts, signals, or any form of financial service to third parties.
• Rent, lease, lend, or otherwise transfer your license or License Key to any other person or entity.
• Remove, obscure, or alter any copyright notices, trademarks, or other proprietary rights notices within the Software.
• Use the Software in any manner that violates applicable law, your broker's terms of service, or these Terms.

3 Eligibility

By using the Software, you represent and warrant that:

• You are at least 18 years of age or the age of legal majority in your jurisdiction, whichever is greater.
• You possess the legal capacity and authority to enter into this agreement and be bound by its terms.
• You are not located in, or a national or resident of, any country or jurisdiction where the distribution or use of this Software would be contrary to local law or regulation.
• You are solely responsible for determining whether the use of automated trading software is legal and compliant in your jurisdiction and with your broker.
• You have the financial sophistication to understand the risks associated with automated trading in leveraged financial products.
• You are trading with funds that you can afford to lose, and the use of this Software does not create any financial hardship.

The Company makes no representation that the Software is appropriate or available for use in any particular jurisdiction. Users access the Software at their own initiative and are solely responsible for compliance with all local laws and regulations, including but not limited to financial services regulations, exchange control regulations, and tax obligations.

4 Software Description

RangeHunterPro V2 is an automated trading Expert Advisor developed for the MetaTrader 5 platform. The Software is designed to execute automated trades on the XAUUSD (Gold/US Dollar) trading instrument based on predefined algorithmic logic programmed by the Company.

The Software operates by analysing market conditions according to its internal algorithm and placing, modifying, and closing trades automatically within a connected MetaTrader 5 trading environment. The Software requires a live internet connection, a functioning MetaTrader 5 platform, and a brokerage account to operate.

The Company reserves the right to update, modify, or discontinue the Software at any time. Where updates are provided, they may be subject to these Terms or updated terms notified to you at the time of update.

5 No Financial Advice

You expressly acknowledge and agree that:

• The Company is not registered as a Financial Services Provider (FSP) under the Financial Advisory and Intermediary Services Act 37 of 2002 ("FAIS Act") of South Africa and does not hold any FSP licence issued by the Financial Sector Conduct Authority ("FSCA").
• The Company does not provide investment advice, portfolio management, or any discretionary or non-discretionary financial services as defined under South African law or the laws of any other jurisdiction.
• The Company does not manage client funds, hold client assets, or operate as a collective investment scheme.
• The Software is a technology tool that automates trade execution based on its internal algorithm. The User makes the ultimate decision to deploy and operate the Software on their own trading account, and by doing so, accepts full and sole responsibility for all resulting trades and financial outcomes.
• Nothing contained in the Software, on the Company's website, or in any communications from the Company constitutes a recommendation, solicitation, or offer to buy or sell any financial instrument.
• Before using the Software, Users should seek independent financial advice from a licensed financial advisor (FSP) who understands their personal financial situation, risk tolerance, and investment objectives.

6 Intellectual Property

The Software, including but not limited to its underlying source code, algorithm, design, architecture, logic, documentation, and all related intellectual property, is and shall remain the exclusive property of the Company and is protected by South African and international copyright law, including the Copyright Act 98 of 1978 (as amended).

Your license grant under these Terms conveys only a limited right to use the compiled Software executable (.ex5 file) as described herein. No intellectual property rights, title, or ownership in the Software are transferred to you at any time.

The Software is distributed exclusively as a compiled MetaQuotes Language 5 (.ex5) executable file. The Company's proprietary source code (.mq5) is not provided, licensed, or transferred to the User under any circumstances. Any attempt to extract, reconstruct, or infer the source code through any means is a breach of these Terms and a violation of applicable intellectual property law.

"RangeHunterPro", "Range Hunter Pro", and associated logos and branding are the property of the Company. You may not use these marks without the prior written consent of the Company.

7 License Key & Account

Upon purchase, the Company will issue you a unique License Key. This License Key is bound to a single MetaTrader 5 account number designated by you at the time of activation.

License Restrictions

• One License Per Account: Each License Key is valid for one MT5 account number only. The Software will perform online license validation against the Company's license server. Operating the Software on an account other than the registered account will result in deactivation.
• No Sharing: You may not share, sell, transfer, or otherwise distribute your License Key to any other person or entity. Your License Key is personal to you and your registered account.
• License Validation: The Software requires periodic internet connectivity to validate your License Key against the Company's license server. If license validation cannot be completed, the Software may cease to function.
• Account Transfer: If you wish to transfer your license to a different MT5 account, you must contact the Company at [email protected]. Account transfers are at the sole discretion of the Company and may incur an administrative fee.

License Termination for Violation

The Company reserves the right to immediately terminate your License Key and deactivate the Software without refund if you are found to be in breach of these Terms, including but not limited to sharing your License Key, attempting to use the Software on multiple accounts, attempting to reverse engineer the Software, or using the Software to provide services to third parties.

8 Limitation of Liability

To the maximum extent permitted by applicable South African law, including the Consumer Protection Act 68 of 2008 ("CPA"), the Company's total liability to you for any claim arising out of or related to these Terms or your use of the Software shall be limited to the amount you paid for your license in the twelve (12) months preceding the claim.

The Company shall not be liable for any of the following, whether arising in contract, delict (tort), statute, or otherwise:

• Trading losses, account drawdowns, margin calls, or the loss of any funds arising from the operation of the Software on your trading account.
• Any loss of profits, loss of business, loss of revenue, loss of goodwill, or any other indirect, special, incidental, consequential, or punitive damages.
• Losses arising from issues with the MetaTrader 5 platform, your broker's trading server, execution delays, requotes, or broker-imposed restrictions.
• Losses arising from internet connectivity failures, virtual private server (VPS) failures, power outages, or any other infrastructure or connectivity issue.
• Losses arising from extraordinary market events, including but not limited to flash crashes, news events, central bank interventions, exchange halts, or geopolitical events.
• Losses arising from changes in market conditions, including spread widening, liquidity gaps, or weekend price gaps.
• Software bugs, errors, or unexpected behaviour of the Software in live market conditions that could not have been reasonably anticipated.
• Any action or inaction by your broker, including broker insolvency, account restrictions, or changes to trading conditions.

Nothing in these Terms shall limit or exclude any liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable South African law.

9 Indemnification

You agree to defend, indemnify, and hold harmless the Company and its directors, officers, employees, contractors, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or relating to:

• Your use of, or inability to use, the Software.
• Your violation of any provision of these Terms.
• Your violation of any applicable law, regulation, or third-party rights, including your broker's terms of service.
• Any trading losses or financial harm arising from the operation of the Software on your trading account.
• Any claim by a third party arising from your use of the Software to trade on their behalf or for their benefit.

10 Disclaimer of Warranties

The Software is provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied, to the maximum extent permitted by applicable law.

The Company expressly disclaims all warranties, including but not limited to:

• Any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.
• Any warranty that the Software will be uninterrupted, error-free, secure, or free of bugs or viruses.
• Any warranty regarding the accuracy, reliability, or completeness of the Software's trading signals, decisions, or outputs.
• Any warranty of profitability, trading performance, or expected returns. Trading results will vary and losses are possible.
• Any warranty that the Software will perform consistently across all brokers, all MT5 environments, or all market conditions.

Past Performance Disclaimer: Any historical trading results, backtests, or performance data presented by the Company or in relation to the Software are for illustrative purposes only. Past performance is not indicative of future results. Backtested results are conducted with the benefit of hindsight and may not accurately reflect the results achievable in live trading conditions due to differences in spreads, slippage, liquidity, and other market factors.

11 Termination

Termination by the Company

The Company may terminate your license and your access to the Software immediately, without prior notice, and without refund (subject to applicable CPA rights) if you:

• Breach any material term of these Terms.
• Attempt to reverse engineer, decompile, or tamper with the Software.
• Share, sell, or transfer your License Key to any third party.
• Use the Software in a manner that is unlawful or that infringes third-party rights.

Termination by the User

You may discontinue your use of the Software at any time by removing it from your MetaTrader 5 platform. Discontinuation of use does not entitle you to a refund outside of the terms set out in our Refund Policy.

Effect of Termination

Upon termination for any reason: your License Key will be deactivated, the Software will cease to function on the registered account, all rights granted to you under these Terms will immediately cease, and provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 5, 6, 8, 9, and 12.

12 Governing Law & Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of the Republic of South Africa.

You agree that the courts of the Republic of South Africa shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter, and you irrevocably submit to that jurisdiction.

Before initiating any legal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation for a period of not less than 30 calendar days from the date of written notice of the dispute.

13 ECTA Compliance

In accordance with Section 43 of the Electronic Communications and Transactions Act 25 of 2002 (ECTA), the following company information is provided:

These Terms are made available on the Company's website and form the full agreement between the parties in respect of the use of the Software. In the event of any inconsistency between these Terms and any other communication or document, these Terms shall prevail.

14 Changes to Terms

The Company reserves the right to update, modify, or replace any part of these Terms at any time at its sole discretion. When changes are made, the Company will update the "Last Updated" date at the top of this document and will use reasonable endeavours to notify active license holders of material changes via email.

Your continued use of the Software following notification of any changes constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must discontinue use of the Software. It is your responsibility to review these Terms periodically for changes.
